1. The People’s Republic of China has received the loan from the Asian Development Bank toward the cost of Qingdao Smart Low-Carbon District Energy Project and it intends to apply part of the proceeds of this loan to payments under the Contract for Supply of heat exchangers, boilers, heat pumps, attachment, and pipes (for Shibei-heat exchange stations, and Shibei-Binhai) (Bid No.: WKZB1822SDD101100).

 

2. MINMETALS International Tendering Co., Ltd. (the Procurement Agent), authorized by and on behalf of Qingdao Energy Group (the Purchaser), now invites sealed bids from all eligible and qualified bidders for the procurement of goods as follows:

Supply of heat exchangers, boilers, heat pumps, attachment, and pipes (for Shibei-heat exchange stations, and Shibei-Binhai) (See Section VI for details)

 

The delivery period is detailed in the bidding documents. Bidders can only submit bids for one contract, as further defined in the bidding document. Bidders wishing to offer discounts shall state such discounts and the methodology for their application in the Letter of Bid.

 

3. National Competitive Bidding will be conducted in accordance with ADB’s Single-Stage: One-Envelope Bidding procedures and is open to tall Bidders from eligible Countries as described in the Bidding Document.

 

4. 5. The attention of prospective Bidders is drawn to the eligibility and conflict of interest provisions under ITB 4 of the Bidding Documents. All Bidders found to have a conflict of interest shall be disqualified.

 

6. Only eligible Bidders with the following key qualifications should participate in this bidding:

 

Size of Operation

Bidders must be legally registered as an independent legal person, and shall have more than 5(five) years experiences of continuous operation. The bidder shall provide qualified inspection of corporate business license copy; average annual turnover over the last three years (2015, 2016 and 2017) shall not be less than CNY 110 million.

Contractual Experience

Participation as the main supplier and have successfully and substantially completed at least 3 (three) contracts on municipal public, energy or engineering project total package contracts within the last 3(three) years (2015, 2016 and 2017), each with a value of at least CNY 37.6 million, and that are similar to the proposed technical specification and features. Bidders shall provide documents including, but not limited to, Notification of Award, Contract Agreement, and Purchaser Acceptance Certificate.

Technical Experience

a. Goods offered have been in production for at least five (5) years; and the goods with similar capacity which have been sold, with at least the same quantity required in the Section VI for each lot, should have been in operation satisfactorily for at least two (2) years.

b. The manufacturers who actually supply the goods in this bid shall possess ISO14001 quality system certificate, or its equivalent.

c. The bidder shall have a local office in Qingdao to handle the after-sales service requirements including but not limited to installation, repair, maintenance, and other services. The bidder shall submit a commitment letter for after-sales service.

Production Capacity

The bidder or the appointed manufacturer shall demonstrate that it can supply the type, size, and quantity of the goods as required by the Purchaser in accordance with the Delivery and Completion Schedule in Section 6 (Schedule of Supply). The bidder shall submit the Supply Contract and Inspection Report.

a.       Qingdao Jinhong Thermal Power Co., Ltd.:

Equipment manufacturer:

i.     Manufacturers of direct-fired heat pump units should have at least two similar flue-water direct-contact spray heat exchange towers equipped with absorption heat pumps for coal-fired boiler waste heat recovery projects in China, and at least one year of successful operation. The corresponding performance certificate (provided the original contract and the certificate of the user unit) must be provided at the time of bidding.

b.      No. 2 and No. 3 Factory of Qingdao Jinhong Thermal Power Co., Ltd.:

Heat pump unit manufacturer:

i.        Direct-fired heat pump manufacturers must have a production history of more than 10 years. Heat pump manufacturers must have ASME certification, CE certification, CRAA mechanical safety certification, A1/D1 and above pressure vessel manufacturing qualification certificates and D1/D2 and above pressure vessels. Design qualification certificate;

ii.   The heat pump unit manufacturer shall have at least three(3) similar waste heat recovery projects for gas-fired boilers with flue-water direct contact sprinkler heat exchanger towers and absorption heat pumps, and shall operate successfully for at least one(1) heating season, and shall submit contracts and user use reports when bidding.

iii.       The manufacturer of the heat pump unit shall have at least three(3) cases of successful operation of the waste heat recovery unit of the gas boiler (2X58MW or more) operating for two(2) years or more, and shall provide the contract and user use report at the time of bidding.

c.       The first phase clean energy heating project of South Island group Old City transformation

The manufacturer:

i.   The heat exchanger manufacturer shall have the ISO9000 quality assurance system certification and production license.

ii.   The pump manufacturer shall have the ISO9000 quality assurance system certificate, production license and China energy-saving product certification.

Financial Position

Soundness of the Bidder’s financial position showing long-term profitability demonstrated through audited annual financial statements (balance sheet, income statement, and cash flow statement) for the last three years (2015, 2016 and 2017). As a minimum, a Bidder’s net worth calculated as the difference between total assets and total liabilities for each of the three years (2015, 2016 and 2017) should be positive.

Cash Flow Capacity

Availability of or access to liquid assets, lines of credit, and other finances sufficient to meet any possible cash flow requirement which may arise during the execution of the contract (This should in appropriate cases also take into account the Bidder’s commitments for other contracts) shall not be less than: CNY 9 million.

Litigation History

All pending claims, arbitration, or other litigation shall represent in total not more than ten percent (10%) of the Bidder’s net worth.

7.         A complete set of Bidding Documents in Chinese may be purchased by interested bidders on the submission of a written application to the address below and upon payment of a nonrefundable fee CNY1,000 for each lot. 2.   五矿国际招标有限责任公司（以下简称“招标代理”）受青岛能源集团有限公司（以下简称“业主”）的委托现邀请合格且有资格的投标人就下列货物和相关服务递交密封的投标文件：

换热器、锅炉、热泵、附件和塑料管采购项目（市北供热站、市北滨海）（详见第六章）

5.   潜在投标人应注意本招标文件投标人须知第4条关于合格性和利益冲突的规定。所有存在利益冲突的投标人均为不合格的投标人。

6.   投标人的资格要求包括：

（1）业务规模

国内投标人必须是依法注册的独立法人并成立5年以上；投标人须提供年检合格的企业法人营业执照复印件；且投标人最近三年（2015年、2016年、2017年）的平均年营业额不少于人民币1.1亿元。

（2）合同经验

投标人在近三年（2015年、2016年、2017年）内必须完成至少三个类似合同，每个合同金额不少于人民币3760万元，其类似性应基于招标文件中所描述的技术规格和特点（若投标人提供总包或工程项目总包合同，其提交的总包内相应设备的清单和设备的价值额应达到相应的要求）。投标人必须提供符合要求的证明文件，包括但不仅限于中标通知书、合同协议书、用户验收证明。

（3）技术经验         

3.1所提供的货物至少有五（5）年的生产经验，每年至少应有大于本项目货物清单的产品数量已经销售并至少满意地运行二（2）年；

3.2投标人所投产品的制造商应具有ISO14001系列环境管理体系认证证书；

3.3投标人应在青岛设有办事处，用来处理售后服务的要求，包括但不限于安装，维修，保养等服务。投标人应提供针对本合同的国内维修站点和售后服务承诺，如果由制造商或经销商出具承诺，该承诺书需经投标人签字确认。

（4）生产能力

投标人或其选择的实际供货商至少应具备相应的生产能力，以保证有能力供应所需型号、尺寸和数量的货物，并按照买方在第六章（供货计划）中要求的时间内交货和完成计划。投标人应提供相应的证明文件，包括但不限于供货合同、验收报告等以证明在本次采购合同的交货期内能够满足全部供货需要。

4.1青岛金泓热电有限公司设备制造商要求：

4.1.1 直燃热泵机组制造商应在国内具有至少2个类似的烟水直接接触式喷淋换热塔配套吸收式热泵的燃煤锅炉余热回收项目，且至少成功运行1个年度，投标时须提供相应的的业绩证明（提供合同原件及用户单位的证明）。

4.2  青岛金泓热电有限公司二厂、三厂热泵机组制造商：

4.2.1  直燃热泵制造商需具备10年以上生产历史，热泵制造商须具备ASME认证、CE认证证书、CRAA机械安全认证、A1/D1级及以上压力容器制造资质证书及D1/D2级及以上压力容器设计资质证书。

4.2.2  热泵机组制造商应具有至少3个类似的烟水直接接触式喷淋换热塔配套吸收式热泵的燃气锅炉余热回收项目，且至少成功运行1个供热季，投标时须提供合同及用户使用报告。

4.2.3  热泵机组制造商应具有至少三个运行两年及以上的燃气锅炉（2X58MW以上）余热回收装置成功运行案例，投标时须提供合同及用户使用报告。

4.3  南岛组团旧城改造一期清洁能源供热工程制造商：

4.3.1  换热器生产厂家应具备ISO9000质量保证体系认证书、生产许可证。

4.3.2  水泵生产厂家应具备ISO9000  质量保证体系认证书、生产许可证、中国节能产品认证证书。

（5）财务状况

经审计的最近三年（2015年、2016年、2017年）的年度财务报表（资产负债表、损益表）反映的投标人的财务状况，显示出长期的盈利能力。最低要求，投标人最近三年（2015年、2016年、2017年）每年的净资产（按总资产与总负债之差计算）均应为正值。

（6）现金流能力

可利用的速动资产、授信额度和其它融资手段，足以满足履行合同所需要的现金流。同时还应考虑投标人正在履行的其它合同：不少于人民币900万元。

（7）诉讼历史

未完结的索赔、仲裁或其它诉讼，其总金额不得超过投标人净资产的10%。
