1.       中国政府已从亚洲开发银行获得了一笔贷款，用于支付亚洲开发银行贷款青岛智能低碳区域能源系统改扩建项目的费用，并计划将其中的一部分贷款用于支付锅炉、热泵及附件采购项目 (李沧和市北#1)项下的合格支出。

2.       五矿国际招标有限责任公司（以下简称“招标代理”）受青岛能源集团有限公司（以下简称“业主”）的委托现邀请合格且有资格的投标人就下列货物和相关服务递交密封的投标文件：

5.       潜在投标人应注意本招标文件投标人须知第4条关于合格性和利益冲突的规定。所有存在利益冲突的投标人均为不合格的投标人。

6.       投标人的资格要求包括：

（1）业务规模

国内投标人必须是依法注册的独立法人；投标人须提供年检合格的企业法人营业执照复印件；且投标人最近三年（2017年、2018年、2019年）的平均年营业额不少于人民币6250万元。

（2）合同经验

投标人在近三年（2017年、2018年、2019年）内必须完成至少三个类似合同，每个合同金额不少于人民币2000万元，其类似性应基于招标文件中所描述的技术规格和特点。投标人必须提供符合要求的证明文件，包括但不仅限于中标通知书、合同协议书、用户验收证明。

（3）技术经验

3.1所提供的货物至少有五（5）年的生产经验，每年至少应有大于本项目货物清单的产品数量已经销售并至少满意地运行二（2）年；

所投热水锅炉品牌要求在近3年内至少有3个以上的热水机组的项目；

3.2投标人所投产品的制造商应具有ISO14001系列环境管理体系认证证书；

3.3投标人应在青岛设有办事处，用来处理售后服务的要求，包括但不限于安装，维修，保养等服务。投标人应提供针对本合同的国内维修站点和售后服务承诺，如果由制造商或经销商出具承诺，该承诺书需经投标人签字确认。

（4）生产能力

投标人或其选择的实际供货商至少应具备相应的生产能力，以保证有能力供应所需型号、尺寸和数量的货物，并按照买方在第六章（供货计划）中要求的时间内交货和完成计划。投标人应提供相应的证明文件，包括但不限于供货合同、验收报告等以证明在本次采购合同的交货期内能够满足全部供货需要。

（5）财务状况

经审计的最近三年（2017年、2018年、2019年）的年度财务报表（资产负债表、损益表）反映的投标人的财务状况，显示出长期的盈利能力。最低要求，投标人最近三年（2017年、2018年、2019年）每年的净资产（按总资产与总负债之差计算）均应为正值。

（6）现金流能力

可利用的速动资产、授信额度和其它融资手段，足以满足履行合同所需要的现金流。同时还应考虑投标人正在履行的其它合同：不少于人民币1200万元。

（7）诉讼历史

未完结的索赔、仲裁或其它诉讼，其总金额不得超过投标人净资产的10%。

1. The People’s Republic of China has received the loan from the Asian Development Bank toward the cost of Qingdao Smart Low-Carbon District Energy Project and it intends to apply part of the proceeds of this loan to payments under the Contract for Supply of Boilers, Heat Pumps and Attachments (for Licang and Shibei part 1) (Bid No.: WKZB2022SDD101150).

2. MINMETALS International Tendering Co., Ltd. (the Procurement Agent), authorized by and on behalf of Qingdao Energy Group (the Purchaser), now invites sealed bids from all eligible and qualified bidders for the procurement of goods as follows:

Supply of Boilers, Heat Pumps and Attachments (for Licang and Shibei part 1) (See Section VI for details)

The delivery period is detailed in the bidding documents.

Bidders can only submit bids for one contract, as further defined in the bidding document. Bidders wishing to offer discounts shall state such discounts and the methodology for their application in the Letter of Bid.

5. The attention of prospective Bidders is drawn to the eligibility and conflict of interest provisions under ITB 4 of the Bidding Documents. All Bidders found to have a conflict of interest shall be disqualified.

6. Only eligible Bidders with the following key qualifications should participate in this bidding:

Size of Operation

Bidders must be legally registered as an independent legal person, the bidder shall provide qualified inspection of corporate business license copy; average annual turnover over the last three (3) years (2017, 2018 and 2019) shall not be less than CNY 62.5 million.

Contractual Experience

Bidders must have at least three (3) similar contracts each with a value of at least CNY 20 million that have been successfully or substantially completed within the last three (3) years (2017, 2018 and 2019) that are similar to the proposed technical specification and features. Bidders shall provide documents including, but not limited to, Notification of Award, Contract Agreement, and Purchaser Acceptance Certificate.

Technical Experience

a. Goods offered have been in production for at least five (5) years; and the goods with similar capacity which have been sold, with more than quantity required in the Section VI for each lot, should have been in operation satisfactorily for at least two (2) years.

The brand of the hot water boiler shall have at least three (3) projects within the last three(3) years;

b. The manufacturers who actually supply the goods in this bid shall possess ISO14001 quality system certificate.

c. The bidder shall have a local office in Qingdao to handle the after-sales service requirements including but not limited to installation, repair, maintenance, and other services. The bidder shall provide a domestic maintenance site and after-sales service commitment for this contract. If the commitment is made by the manufacturer or distributor, the commitment shall be confirmed by the signature of the bidder.

Production Capacity

The bidder or the appointed manufacturer shall demonstrate that it can supply the type, size, and quantity of the goods as required by the Purchaser in accordance with the Delivery and Completion Schedule in Section 6 (Schedule of Supply). The bidder shall submit the Supply Contract and Inspection Report to prove that all supply requirements can be met within the delivery date of this contract.

Financial Position

Soundness of the Bidder’s financial position showing long-term profitability demonstrated through audited annual financial statements (balance sheet and income statement) for the last three (3) years (2017, 2018 and 2019). As a minimum, a Bidder’s net worth calculated as the difference between total assets and total liabilities for each of the three years (2017, 2018 and 2019) should be positive.

Cash Flow Capacity

Availability of or access to liquid assets, lines of credit, and other finances sufficient to meet any possible cash flow requirement which may arise during the execution of the contract (This should in appropriate cases also take into account the Bidder’s commitments for other contracts) shall not be less than: CNY 12 million.

Litigation History

All pending claims, arbitration, or other litigation shall represent in total not more than ten percent (10%) of the Bidder’s net worth.

7. A complete set of Bidding Documents in Chinese may be purchased by interested bidders on the submission of a written application to the address below and upon payment of a nonrefundable fee CNY1,000 for each lot. The method of payment will be cashier check or direct deposit to the bank account specific below.
